1. Acceptance
These Terms of Use govern your access to and use of the Falfield Terminal and the Falfield Capital LLC website at falfield.com andterminal.falfield.com (together, the “Services”). By accessing the Services you agree to these terms. If you do not agree, do not use the Services.
2. Private access
The Falfield Terminal is a private research tool. Access is limited to individuals expressly invited by Falfield Capital LLC. You must not share your sign-in credentials, allow anyone else to use your account, or attempt to access the Services using credentials that are not your own.
3. Permitted use
You may use the Services solely for internal research purposes consistent with your invitation. You may not (a) scrape, mirror, or systematically download content; (b) reverse-engineer the Services or any underlying components; (c) use the Services to provide competing products to any third party; or (d) introduce any code, content, or activity intended to disrupt the Services or other users.
4. Intellectual property
All software, designs, trademarks, and original written content displayed within the Services are owned by Falfield Capital LLC or its licensors. Research outputs generated within the Terminal - including theses, models, and memos - belong to Falfield Capital LLC. References to third-party data providers, tickers, and companies remain the property of their respective owners and do not imply endorsement.
5. No investment advice
Content in the Services is informational only. Nothing within the Services constitutes investment, legal, tax, accounting, or other professional advice, or an offer or solicitation to buy or sell any security or other financial instrument. You are solely responsible for any decisions you make based on the information.
6. Third-party data
The Services display market data, news, filings, and other information sourced from third parties including Finnhub, Yahoo Finance, and the U.S. Securities and Exchange Commission (SEC EDGAR). Falfield Capital LLC does not guarantee the accuracy, completeness, or timeliness of any third-party content and is not responsible for any reliance you place on such content.
7. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
8. Limitation of liability
To the maximum extent permitted by law, Falfield Capital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, the Services.
9. Termination
Falfield Capital LLC may suspend or terminate your access to the Services at any time, with or without notice, for any reason - including but not limited to a breach of these Terms. You may stop using the Services at any time.
10. Changes
These Terms may be updated from time to time. The “Last updated” date above will reflect any change. Continued use of the Services after a change constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the State of Texas, U.S.A., without regard to its conflict-of-laws principles. Exclusive venue for any dispute lies in the state or federal courts located in Harris County, Texas.
